Bylaws

Article I. Name

A. The name of this organization shall be the Golden Corner Ballroom Dance Club, hereinafter referred to as “The Club.”

B. The home of the Principle Officer shall serve as the office of the Club.

Article II. Purpose

A. To promote social ballroom dancing for all ages through regularly scheduled dances.

B. The Club shall be a not-for-profit organization.

Article III. Membership

Section 1 - Eligibility

A. The Club is open to all persons with an interest in the fellowship and recreation provided through ballroom dancing.

B. Non-members may be admitted to Club functions as guests of a member upon payment of a fee determined by the Board of Directors.  Non-members may attend a maximum of three (3) dances.

Section 2 - Good Standing

A. To be an active and voting member-in-good-standing, all dues and fees must be paid in full.

Article IV. Governance

Section 1 - Officers

A. Titles and duties of each officer:

1. There shall be a President who shall convene and preside over all Club meetings, oversee the affairs and activities of the Club, and be an ex-officio member of all committees.  The President shall appoint Committee Directors as required.  The term of office shall be for one year, or until otherwise replaced.

2. There shall be a Vice President who shall be responsible for selecting the source of music for Club dances, and perform other duties as may be assigned by the President from time to time.  The Vice President shall assume all duties of the President when the President is unable to perform them.  The Vice President shall succeed the President in order to provide continuity to the operation of the Club.  The term of office shall be for a period of one year, or until otherwise replaced.

3. There shall be a Secretary who shall record and transcribe the minutes of all Club meetings, maintain a current list of members including contact information, maintain the Club’s correspondence files, and disseminate information to the membership as required.  The term of office shall be for a period of one year or until otherwise replaced, with an option for serving a second consecutive term.

4. There shall be a Treasurer who shall be the custodian of the Club’s funds, collect all dues and fees, pay all debts, maintain accurate financial records, and keep the President informed of the Club’s financial status.  The Treasurer shall prepare a financial statement for all Club meetings, and perform other duties as may be assigned by the President.  The term of office shall be for a period of one year or until otherwise replaced, with an option for serving a second consecutive term.

Section 2 – Board of Directors

1. The Board of Directors shall consist of the four elected Officers (Article IV, Section 1), plus the three committee Directors (Article IV, Section 4.)

2. The Board of Directors shall serve as the Club’s policy making body and supervise its general operation.  It shall be responsible for planning and executing the Club’s activities and managing its business affairs.  It shall also review suggestions for the Club’s operations and bring them to the membership for decision when appropriate.  It will be convened by the President as required by these By-Laws, Article V, or at the call of 50% of the Club’s members.   

Section 3 – Officer Elections

A. Election Process:

1. Officers will be elected by a majority vote of Club members at the Annual Meeting in January of each calendar year.

2. Officers shall be nominated from the floor.

3. The voting shall be done by secret ballot. The counting of ballots and tabulating votes shall be the responsibility of the Vice President and Secretary.

4. The President shall announce the results of the balloting to the membership, and the newly elected officers shall assume office immediately.  The new President shall immediately assign Committee Directors.

Section 4 – Committees

A. There shall be three (3) Standing Committees:

1. The Music Committee shall be responsible for selecting the source of music for the Club’s dances. It shall be responsible for seeking out and procuring either recorded or live music. The Music Committee shall be co-chaired by the Vice President and a Director assigned by the President.

2. The Activities Committee shall be responsible for implementing each scheduled dance activity of the Club.  This shall include such details as facility preparation and set-up, check-in/ticket taking, decorations, food and drink provision, and clean-up. The Activities Committee shall be chaired by a Director assigned by the President and shall be assisted by the number of volunteer members required to complete the activity.

3. The External Affairs Committee shall be responsible for researching, monitoring, and reporting to the President all dance activity in and out of the local area which may be of interest to Club members.  The External Affairs Committee shall be chaired by a Director assigned by the President.

B. Committee Directors shall select members at large from the Club’s rolls as required to complete the work of their committee.

Article V. Meetings

Section 1 – Annual Meeting

The Annual Meeting shall be held in January of each year, scheduled to coincide with the dance activity for that month.  The primary purpose of the Annual Meeting shall be to elect new Club Officers, although additional business may be conducted as necessary.

Section 2 - Regular Meetings

The Board of Directors shall meet bi-monthly during the year.  The agenda, date, time and place of the meeting shall be determined by the President and made known to the membership.  The President (or V.P.) and at least three other officers must be present in order to conduct Club business.  Any member-in-good-standing may attend and participate in the meeting.

Section 3 - Quorum

Fifteen (15%) percent of the Club members-in-good-standing will constitute a quorum at all Club meetings.

Section 4 - Voting

All voting shall be governed by a simple majority except that a change in the By-Laws or dissolution of the Club shall require a two-thirds majority of those present.

Section 5 – Meeting Rules

All meetings of the Club will be conducted in accordance with Robert’s Rules of Order.

Article VI. Dues and Fees

Section 1 - Club Dues

Annual Dues shall be established by the Board of Directors based on required funding and Club needs for the year.  Annual Dues are payable to the Club Treasurer in January of each year, and become delinquent on 1 March.

Section 2 – Club Fees

An Activity (Dance) Fee shall be established by the Board of Directors.  This fee shall be based directly on the expected cost of the activity.  The Board of Directors shall make every effort to keep the Activity Fee to a minimum consistent with quality music and facilities, and shall strive to keep the Activity Fee at a constant amount.  The Board of Directors shall also determine the amount of the Activity Fee to be charged for non-member attendance at Club activities.  Activity Fees are payable to the Club Treasurer and will be due at least one week prior to the scheduled activity.

Article VII. Compensation

No Officer, Committee Director, or other representative of the Club shall receive any compensation for their service.

Article VIII. Amendments

These By-Laws may be amended by a two-thirds majority vote of the members attending any duly convened meeting, provided ten (10) days written notice of the impending amendment is given to all members.

Article IX. Dissolution

The Club may be dissolved at any duly called meeting of the membership by a two-thirds majority vote of the members present, provided ten (10) days written notice of the impending dissolution is given to all members. In the event of dissolution, all physical assets of the Club shall be liquidated and the proceeds, along with other cash moneys, shall be returned to the members-in-good-standing on a pro-rata basis.
